These Terms and Conditions (“Terms”) govern your use of B2B eCommerce World websites and your registration for, purchase of, attendance at or participation in conferences, events, programs and other services operated by B2B eCommerce World Inc.

Please read these Terms carefully.

By using our website, registering for an event, purchasing a ticket, submitting an application to participate in a program or otherwise using our services, you agree to these Terms.

If you are registering, purchasing or participating on behalf of a company or other organisation, you represent that you are authorised to act on behalf of that organisation where applicable.

1. About B2B eCommerce World

B2B eCommerce World Inc. (“B2B eCommerce World”, “we”, “us” or “our”) operates conferences, events and related programs for professionals involved in B2B eCommerce, digital transformation, manufacturing, distribution and associated industries.

2. Scope of These Terms

These Terms apply to:

  • Our websites;
  • B2B eCommerce World conferences and events;
  • Event registrations;
  • Ticket purchases;
  • Applications;
  • Networking programs;
  • Hosted practitioner and VIP programs, except where additional terms apply;
  • Awards and competitions, except where separate rules apply;
  • Digital event services;
  • Event applications;
  • Content and resources we make available; and
  • Other services provided by B2B eCommerce World.

Certain products, programs or services may have additional terms. If additional terms apply, those terms form part of your agreement with us. If there is a conflict between these Terms and specific terms relating to a particular program or transaction, the specific terms will apply to that matter.

3. Event Registration

You must provide accurate, current and complete information when registering for an event.

You are responsible for ensuring that the contact information associated with your registration remains accurate so that we can communicate important event information to you.

We reserve the right to:

  • Accept or reject registrations;
  • Request additional information;
  • Verify eligibility for particular ticket types or programs;
  • Correct obvious registration errors; and
  • Cancel registrations obtained through fraud, misrepresentation or misuse of promotional offers.

Certain tickets or programs may be restricted to attendees meeting specified eligibility criteria.

4. Tickets and Payment

Ticket prices will be displayed at the time of purchase.

Unless otherwise stated:

  • Prices are quoted in the currency displayed during checkout;
  • Applicable taxes or charges may be added where required;
  • Payment is due according to the terms presented during registration or invoicing; and
  • A registration is not guaranteed until any required payment has been received or the registration has otherwise been confirmed by us.

You are responsible for any bank fees, foreign exchange charges or similar costs associated with your payment.

If an invoice remains unpaid after its due date, we reserve the right to suspend or cancel the associated registration, sponsorship or service.

5. Cancellations, Refunds and Transfers

Cancellation and refund conditions may vary between events, ticket types and programs.

Any event-specific cancellation or refund conditions presented during registration or purchase form part of these Terms.

Unless otherwise expressly stated, tickets are not automatically refundable because an attendee:

  • Changes their plans;
  • Is unable to travel;
  • Fails to obtain required travel documents;
  • Misses part or all of an event; or
  • Chooses not to attend.

We may, at our discretion, permit a ticket to be transferred to another eligible attendee from the same organisation.

Transfer requests should be submitted to info@b2bea.org as early as reasonably possible before the event.

Nothing in this section limits any refund or cancellation rights that cannot lawfully be excluded under applicable law.

6. Event Changes

Events involve speakers, venues, suppliers, sponsors and circumstances that may change.

We therefore reserve the right to make reasonable changes to an event, including changes to:

  • Dates;
  • Times;
  • Venues;
  • Rooms;
  • Speakers;
  • Sessions;
  • Agendas;
  • Event formats;
  • Networking programs;
  • Sponsors;
  • Exhibitors;
  • Activities; and
  • Other aspects of the event.

The advertised program is subject to change.

Where a material change occurs, we will make reasonable efforts to communicate it to affected attendees.

A change to an individual speaker, session, sponsor, exhibitor or agenda item will not normally entitle an attendee to a refund.

7. Event Postponement or Cancellation

We may postpone, relocate, reschedule, convert or cancel an event where reasonably necessary.

If we cancel an event and do not provide a replacement event or alternative arrangement, we will address ticket fees in accordance with the applicable event terms and applicable law.

If an event is postponed or rescheduled, registrations may be transferred to the replacement dates where reasonably practicable.

Except where required by applicable law or expressly agreed otherwise, B2B eCommerce World is not responsible for attendee costs arising from an event cancellation, postponement, relocation or change, including:

  • Flights;
  • Hotels;
  • Ground transportation;
  • Visa costs;
  • Lost working time; or
  • Other travel or incidental expenses.

Attendees are encouraged to make flexible travel arrangements and obtain appropriate travel insurance where relevant.

8. Force Majeure

B2B eCommerce World will not be responsible for a failure or delay in performing its obligations where caused by circumstances outside our reasonable control.

These circumstances may include:

  • Natural disasters;
  • Severe weather;
  • Fire;
  • Flood;
  • Epidemics or pandemics;
  • Public health emergencies;
  • War;
  • Terrorism;
  • Civil unrest;
  • Government action;
  • Travel restrictions;
  • Strikes;
  • Transportation disruption;
  • Venue closure;
  • Utility or telecommunications failures; or
  • Other events beyond our reasonable control.

Where such circumstances affect an event, we may cancel, postpone, relocate, reschedule or change the format of the event.

9. Attendee Conduct

We want B2B eCommerce World events to provide a professional, respectful and productive environment.

All attendees, speakers, sponsors, exhibitors, contractors and other participants are expected to behave professionally and respectfully.

You must not:

  • Harass, threaten or discriminate against another participant;
  • Engage in abusive, intimidating or seriously disruptive behaviour;
  • Damage event or venue property;
  • Engage in unlawful activity;
  • Attempt to gain unauthorised access to restricted areas, systems or information;
  • Misuse attendee information;
  • Disrupt sessions, meetings or event operations;
  • Falsely represent your identity, organisation or professional status; or
  • Engage in conduct that creates an unreasonable safety risk.

We reserve the right to refuse admission or remove an individual from an event where we reasonably believe this is necessary to protect participants, staff, property or the integrity of the event.

Serious misconduct may result in removal without a refund, subject to applicable law.

10. VIP Hosted Practitioner Programs

Certain B2B eCommerce World events may offer VIP Hosted Practitioner or similar hosted programs.

These programs may provide eligible attendees with benefits such as:

  • Complimentary conference admission;
  • Hotel accommodation; and
  • Other hosted benefits.

In return, participants may be required to fulfil specified participation commitments, including attending the conference and completing scheduled meetings with participating organisations.

VIP Hosted Practitioner places are subject to a separate VIP Hosted Practitioner Program Attendee Agreement.

By accepting a hosted place, the participant agrees to the applicable Hosted Practitioner Agreement in addition to these Terms.

Where the Hosted Practitioner Agreement provides for recovery of ticket, accommodation or other hosted costs following a participant's failure to fulfil their agreed commitments, those provisions will apply.

11. Networking and Meetings

Our events may include:

  • Structured networking;
  • Hosted meetings;
  • B2B Exchange Meetings;
  • One-to-one meetings;
  • Roundtables;
  • Event application networking; and
  • Informal networking opportunities.

We facilitate opportunities for participants to meet but do not guarantee that:

  • A particular person or organisation will attend;
  • A requested meeting will occur;
  • A meeting will result in a commercial relationship;
  • A supplier will meet an attendee's requirements; or
  • Any commercial outcome will result from participation.

Participants are responsible for conducting their own due diligence before entering into commercial arrangements with people or organisations they meet through our events.

12. Sponsors and Exhibitors

Our events may include sponsors, exhibitors and commercial partners.

Participation by a sponsor or exhibitor does not constitute an endorsement or guarantee by B2B eCommerce World of that organisation or its products or services.

B2B eCommerce World is not a party to transactions entered into independently between attendees and sponsors, exhibitors or other participants.

Sponsors and exhibitors may also be subject to separate sponsorship, exhibition, order form or commercial agreements.

Where a separate signed agreement exists, that agreement governs the relevant sponsorship or exhibition relationship.

13. Badge Scanning and Lead Sharing

Sponsors and exhibitors may offer to scan attendee badges or otherwise request contact information.

Unless participation in a particular disclosed program requires otherwise, you may decline to have your badge scanned.

If you permit a third party to scan your badge or otherwise provide your information directly to that organisation, your information may be transferred to that organisation and handled under its own privacy practices.

14. Photography, Filming and Recording

Photography, filming and audio recording may take place at B2B eCommerce World events.

By attending an event, you acknowledge that you may appear incidentally in photographs, video footage or recordings of the event.

Subject to applicable law, B2B eCommerce World may use event photographs and recordings for legitimate business purposes, including:

  • Event reporting;
  • Editorial content;
  • Website content;
  • Social media;
  • Marketing;
  • Promotion of current and future events; and
  • Internal records.

Where reasonably practicable, attendees who do not wish to be deliberately featured should notify event staff.

Nothing in this section permits B2B eCommerce World to use an individual's name, image or likeness in a manner that would falsely imply a personal endorsement of a product or service.

15. Attendee Photography and Recording

Unless otherwise stated, reasonable personal photography at our events is permitted.

However, attendees must respect:

  • Speaker instructions;
  • Session restrictions;
  • Confidentiality;
  • Intellectual property rights;
  • Other attendees' privacy; and
  • Venue requirements.

You may not commercially reproduce, livestream, systematically record or distribute substantial portions of an event without our prior written permission.

We may prohibit photography or recording during particular sessions.

16. Intellectual Property

The B2B eCommerce World name, branding, website, event materials and original content are owned by or licensed to B2B eCommerce World Inc. or its affiliates and are protected by applicable intellectual property laws.

Unless we expressly permit otherwise, you may not:

  • Reproduce our content for commercial purposes;
  • Republish substantial portions of event materials;
  • Use our trademarks or branding in a way that implies endorsement or affiliation;
  • Sell or sublicense our content; or
  • Modify and commercially redistribute our proprietary materials.

You may share reasonable excerpts or references for legitimate professional purposes, provided appropriate attribution is given and the use does not misrepresent B2B eCommerce World.

Speaker presentations and third-party materials may remain the intellectual property of their respective owners.

17. Website Use

You may use our websites only for lawful purposes.

You must not:

  • Attempt to interfere with website security;
  • Introduce malware or malicious code;
  • Attempt unauthorised access to systems or accounts;
  • Scrape or systematically extract website or attendee data in violation of applicable law or our rights;
  • Impersonate another person;
  • Use automated systems in a manner that places an unreasonable load on our services; or
  • Use our websites for fraudulent or unlawful purposes.

We may restrict or terminate access where reasonably necessary to protect our systems, users or business.

18. Third-Party Websites and Services

Our websites and events may contain links to, integrations with or services provided by third parties.

These may include:

  • Event technology platforms;
  • Hotels;
  • Venues;
  • Payment providers;
  • Social networks;
  • Sponsors;
  • Exhibitors; and
  • Other external services.

We are not responsible for the content, availability, security or practices of independently operated third-party services.

Your use of third-party services may be governed by separate terms and privacy policies.

19. Privacy

We process personal information in accordance with our Privacy Policy and applicable privacy and data protection laws.

Our Privacy Policy explains how we collect, use, disclose and protect personal information and describes privacy rights that may be available to you.

By using our services, you acknowledge that you have been provided with access to our Privacy Policy.

20. Accessibility and Special Requirements

We aim to provide a professional and accessible event experience.

If you require reasonable accessibility accommodations or have relevant dietary or other participation requirements, please notify us sufficiently in advance at info@b2bea.org.

We will make reasonable efforts to accommodate requests but cannot guarantee that every request can be fulfilled.

21. Travel, Visas and Entry Requirements

Attendees are responsible for arranging and paying for their own travel unless expressly included as part of a hosted program.

You are responsible for:

  • Passports;
  • Visas;
  • Travel authorisations;
  • Immigration requirements;
  • Health requirements;
  • Insurance; and
  • Other documents required to travel to and attend an event.

Any invitation letter or supporting documentation provided by B2B eCommerce World does not guarantee that a visa or travel authorisation will be granted.

We are not responsible for decisions made by immigration, consular or border authorities.

22. Health and Safety

Attendees must comply with reasonable health, safety, security and venue requirements applicable to an event.

We may introduce reasonable measures where necessary to protect attendees, staff and other participants.

You are responsible for determining whether you are personally able to attend and participate safely.

In an emergency, attendees should follow instructions from event staff, venue personnel and relevant authorities.

23. Assumption of Ordinary Event Risks

Attendance at an in-person event involves ordinary risks associated with travel, crowds, venues and participation in professional activities.

To the extent permitted by applicable law, attendees accept the ordinary and reasonably foreseeable risks associated with attending an event.

Nothing in these Terms excludes responsibility that cannot lawfully be excluded.

24. Disclaimer

We aim to provide useful, high-quality professional events and content. However, conference presentations, discussions and materials are provided for general informational and professional purposes.

We do not guarantee that information presented by speakers, sponsors, exhibitors or other third parties is complete, accurate or suitable for your particular circumstances.

Views expressed by speakers and participants are their own and do not necessarily represent the views of B2B eCommerce World.

You are responsible for evaluating information before making business, financial, legal, technical or other decisions based on event content.

25. Limitation of Liability

To the maximum extent permitted by applicable law, B2B eCommerce World Inc. and its affiliated entities will not be liable for indirect, incidental, special, consequential or punitive losses arising from your use of our website or participation in an event.

This may include loss of:

  • Profits;
  • Revenue;
  • Business opportunities;
  • Data; or
  • Anticipated savings.

To the maximum extent permitted by applicable law, our aggregate liability arising from a particular paid event registration will not exceed the amount you paid directly to B2B eCommerce World for that registration.

For complimentary attendance, our liability will be limited to the maximum extent permitted by applicable law.

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including any liability that cannot be excluded under applicable consumer protection or other mandatory laws.

26. Indemnification

To the extent permitted by applicable law, you agree to be responsible for losses, claims or costs reasonably incurred by B2B eCommerce World as a direct result of your:

  • Unlawful conduct;
  • Material breach of these Terms;
  • Intentional infringement of another person's rights; or
  • Intentional damage to property.

This provision does not require you to indemnify B2B eCommerce World for losses caused by our own negligence, misconduct or breach of law.

27. Applicable Law and Jurisdiction

These Terms and any dispute arising from them will be governed by the laws of the State of South Carolina, United States, without regard to conflict-of-law principles, except where mandatory laws applicable to you provide otherwise.

Subject to any rights you may have under mandatory applicable law, disputes relating to these Terms will be subject to the jurisdiction of the appropriate state or federal courts located in South Carolina.

Nothing in this section removes any consumer or privacy rights that cannot legally be waived or restricted.

28. Changes to These Terms

We may update these Terms from time to time to reflect changes to:

  • Our events;
  • Our services;
  • Our business practices;
  • Technology; or
  • Applicable legal requirements.

The current version will be published on our website with the applicable “Last Updated” date.

Changes will apply prospectively unless applicable law permits or requires otherwise.

For material changes affecting an existing registration or agreement, we will provide additional notice where reasonably appropriate or legally required.

29. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect to the extent permitted by law.

30. No Waiver

If we do not immediately enforce a provision of these Terms, that does not mean we have waived our right to enforce it later.

31. Entire Agreement

These Terms, together with:

  • The applicable registration or order details;
  • Our Privacy Policy;
  • Any event-specific terms;
  • Any applicable VIP Hosted Practitioner Program Attendee Agreement; and
  • Any other terms expressly agreed between you and B2B eCommerce World,

constitute the agreement relating to the applicable website use, registration or service.

Where a separately executed commercial agreement applies, such as a sponsorship or exhibition agreement, that agreement will govern the matters specifically addressed by it.
